Transaction Advisory

We support transactions from first analysis through to completion, covering the value drivers, the coordination of diligence, the negotiation input and the price mechanics that decide what actually changes hands. The work keeps the financial threads connected while lawyers, tax advisers and technical specialists each run their own, and consolidates their findings into something the principals can decide on. We pay particular attention to working capital targets and net debt definitions, which routinely move consideration more than the headline negotiation does. It matters because a first-time buyer or seller rarely sees, until too late, how much final price turns on completion mechanics.

In short

Transaction advisory supports buyers and sellers through the analysis, diligence coordination and execution of a deal. Much of the value, and most of the risk, sits in the mechanics that decide the final price rather than in the headline figure.

What we do

The work inside transaction advisory.

Deal analysis

We analyse the target or transaction on its genuine value drivers and the risks that could undo the case. The question is not only what the business earns but how durable and transferable those earnings are. This grounds the price and the structure in the realities of the business rather than in the seller's narrative.

Diligence coordination

We coordinate the financial, tax, legal and technical diligence streams and consolidate their findings into a single view. Separate workstreams routinely produce findings that nobody draws together, so their combined implication for price is missed. Consolidation is what turns diligence from a compliance exercise into a negotiating position.

Price mechanics

We advise on working capital targets, net debt definitions and the completion mechanics that translate the headline figure into cash received. These definitions are negotiable before signing and decisive afterwards. Getting them analysed early is routinely worth more than the final round of price negotiation.

Negotiation and post-deal planning

We support the negotiation with analysis that holds up under challenge, and plan the first hundred days before completion rather than after. A deal agreed without an integration or transition plan tends to lose in the first quarter what was won at the table. Planning the handover early protects the value the transaction was meant to create.

How an engagement runs

Discover, assess, design, deliver.

  1. 01

    Discover

Understand the decision, the financial context, and how finance currently operates. We establish exactly what question the engagement must answer, so a business-case review and a process redesign are not confused with one another.

  2. 02

    Assess

Review the case, processes, controls, and reporting against what the organisation needs to rely on. We report where the numbers and processes are dependable and where they rest on assumptions that will not hold under pressure.

  3. 03

    Design

Set out the financial approach, process design, control set, and reporting model. Definitions, ownership, and controls are documented so the improvement does not depend on us remaining involved.

  4. 04

    Deliver

Support implementation, then track cost and benefit against what was approved. We measure realised value against the criteria agreed at the outset, so the decision is held to account rather than forgotten.
