Mergers & Acquisitions Advisory

We advise on acquisitions from strategy through to integration: what to buy and why, what it is worth, and what has to be true afterwards for the case to hold. Acquisition criteria are defined and targets screened against them, so poor fits are rejected early rather than rationalised later. We value the target and test the synergies that are driving the price against the work that would actually be required to realise them. It matters because most disappointing acquisitions fail on synergies that were assumed rather than specified, and on integration that was planned only once the deal had closed.

In short

M&A advisory supports acquisition and merger strategy, target assessment, valuation and integration planning. The discipline is to decide what to buy and why before deciding what to pay.

What we do

The work inside mergers & acquisitions advisory.

Strategy and target screening

We define the acquisition criteria against the growth strategy and screen targets against them, rejecting poor fits before they absorb time and momentum. A clear set of criteria is the cheapest form of deal discipline available. It keeps the process from drifting towards whatever target happens to be available rather than the one that fits.

Valuation and synergy assessment

We value the target and test the claimed synergies against the work, time and cost that would actually be required to deliver them. Synergies are where acquisition cases are won on paper and lost in practice. Specifying each one against its required effort exposes which parts of the price are real and which are hope.

Structuring input

We advise on consideration structure, earn-outs and risk allocation, working alongside your tax and legal advisers rather than in place of them. How the price is structured allocates risk between buyer and seller as much as it sets the amount. Thoughtful structuring can bridge a valuation gap that a fixed figure cannot.

Integration planning

We plan the integration of systems, processes and people before completion, not as an afterthought once the deal is signed. The value in an acquisition is realised or lost in the months immediately after close. Having owners, milestones and a plan ready on day one is what protects the case the board approved.

How an engagement runs

Discover, assess, design, deliver.

  1. 01

    Discover

Understand the decision, the financial context, and how finance currently operates. We establish exactly what question the engagement must answer, so a business-case review and a process redesign are not confused with one another.

  2. 02

    Assess

Review the case, processes, controls, and reporting against what the organisation needs to rely on. We report where the numbers and processes are dependable and where they rest on assumptions that will not hold under pressure.

  3. 03

    Design

Set out the financial approach, process design, control set, and reporting model. Definitions, ownership, and controls are documented so the improvement does not depend on us remaining involved.

  4. 04

    Deliver

Support implementation, then track cost and benefit against what was approved. We measure realised value against the criteria agreed at the outset, so the decision is held to account rather than forgotten.
