Corporate Finance

We advise on capital structure and funding: how much is needed, in what form, and on what terms the business can actually live with. The work combines an assessment of the debt and equity mix against the volatility of cash flows with the preparation of analysis that funders will scrutinise in detail. We model covenant headroom under plausible downside cases before terms are agreed, because that is where avoidable funding failures begin. It matters because funding decisions are difficult and costly to reverse once documented.

In short

Corporate finance work addresses capital structure, funding options and the financial architecture of the business. The aim is a structure that can be serviced through a downside, not merely one that looks efficient in the plan.

What we do

The work inside corporate finance.

Capital structure review

We assess the debt and equity mix against cash flow volatility, growth plans and the board's genuine risk appetite. The question is not what is theoretically optimal but what the business can service when a plausible downside arrives. The result is a structure that holds up when trading is harder than planned.

Funding options analysis

We compare the available routes on cost, control, covenants and speed to completion, rather than on headline rate alone. Cheaper money with restrictive covenants is frequently the more expensive choice once flexibility is lost. Setting the routes side by side on consistent terms makes that trade-off visible before it is committed to.

Funder-ready materials

We prepare the model and the information pack so they withstand lender and investor diligence without unravelling. Inconsistencies that surface mid-process cost credibility and negotiating position at the worst possible moment. Doing this properly in advance shortens the process and strengthens the terms available.

Covenant and headroom analysis

We model covenant headroom under downside cases before the terms are agreed, not after they bite. Covenant breach on a plausible downside is the most common avoidable funding failure we see. Understanding it first changes which terms you are willing to accept.

How an engagement runs

Discover, assess, design, deliver.

  1. 01

    Discover

Understand the decision, the financial context, and how finance currently operates. We establish exactly what question the engagement must answer, so a business-case review and a process redesign are not confused with one another.

  2. 02

    Assess

Review the case, processes, controls, and reporting against what the organisation needs to rely on. We report where the numbers and processes are dependable and where they rest on assumptions that will not hold under pressure.

  3. 03

    Design

Set out the financial approach, process design, control set, and reporting model. Definitions, ownership, and controls are documented so the improvement does not depend on us remaining involved.

  4. 04

    Deliver

Support implementation, then track cost and benefit against what was approved. We measure realised value against the criteria agreed at the outset, so the decision is held to account rather than forgotten.
