Business Valuation

We value businesses and interests using more than one method, so the answer is triangulated rather than resting on a single approach. The work starts from the purpose and basis of the valuation, which determine the methods and the adjustments that are appropriate, and it normalises earnings for one-off, related-party and owner-specific items before any multiple is applied. We show where the value comes from and how sensitive it is to the assumptions behind it. It matters because a valuation presented as a single confident figure invites a dispute that the underlying analysis cannot survive.

In short

Business valuation estimates the value of a business or interest using recognised methods with documented assumptions. It is an advisory estimate expressed as a reasoned range, not a statutory certification.

What we do

The work inside business valuation.

Purpose and basis

We establish the purpose and basis of the valuation first, because these determine the methods, the standard of value and the adjustments that are appropriate. A valuation for a negotiated sale is not the same exercise as one for a shareholder dispute or succession. Fixing this at the outset prevents a result that answers the wrong question.

Earnings normalisation

We normalise earnings for one-off, related-party and owner-specific items so the figure being capitalised reflects the business as it would run under new ownership. Reported profit in a privately held company often carries adjustments a buyer would reverse immediately. Getting the normalised base right has more effect on value than the choice of multiple.

Multiple method application

We apply income, market and asset-based approaches as the circumstances warrant and reconcile the range they produce. Where the methods disagree, that divergence is itself informative about the business and is explained rather than averaged away. The reconciled range is more defensible than any single point drawn from one method.

Sensitivity and reporting

We show how the valuation moves with the key assumptions and report the basis, the methods and the limitations plainly. A valuation that hides its sensitivities implies a precision the discipline cannot support. Stating them openly is what lets the figure hold up under scrutiny in a negotiation or a dispute.

How an engagement runs

Discover, assess, design, deliver.

  1. 01

    Discover

Understand the decision, the financial context, and how finance currently operates. We establish exactly what question the engagement must answer, so a business-case review and a process redesign are not confused with one another.

  2. 02

    Assess

Review the case, processes, controls, and reporting against what the organisation needs to rely on. We report where the numbers and processes are dependable and where they rest on assumptions that will not hold under pressure.

  3. 03

    Design

Set out the financial approach, process design, control set, and reporting model. Definitions, ownership, and controls are documented so the improvement does not depend on us remaining involved.

  4. 04

    Deliver

Support implementation, then track cost and benefit against what was approved. We measure realised value against the criteria agreed at the outset, so the decision is held to account rather than forgotten.
