Debt Advisory

We advise on debt structure and terms: the pricing, security, covenants and headroom that determine what the business can do once the facility is in place. The work matches facility type and tenor to the cash flows they will be serviced from, models covenant headroom under downside cases, and compares refinancing routes ahead of maturity rather than under time pressure. We prepare the information lenders require and the reporting that maintains their confidence over the life of the facility. It matters because covenant definitions and headroom, negotiable before signing, decide how much room the business has when trading is harder than planned.

In short

Debt advisory addresses borrowing structure, terms, covenants and lender relationships. The terms agreed before signing shape the flexibility the business has for years afterwards.

What we do

The work inside debt advisory.

Facility structure

We match facility type and tenor to the cash flows they will actually be serviced from, rather than to what is most readily available. Funding a long-term asset with short-term debt creates a refinancing risk that need not exist. Getting the structure right at the outset avoids a problem that is expensive to unwind later.

Terms and covenant analysis

We analyse pricing, security and covenants, and model headroom under plausible downside cases before terms are agreed. How EBITDA and net debt are defined for covenant purposes decides the real headroom, and those definitions are negotiable while the deal is live. Testing them against a downside is what reveals whether the terms on offer are genuinely affordable.

Refinancing options

We compare refinancing routes well ahead of maturity rather than in the final weeks before a facility falls due. Approaching lenders under time pressure costs both pricing and flexibility. Starting early preserves the leverage that comes from having genuine alternatives.

Lender information and relations

We prepare the lender packs and the ongoing reporting that maintain confidence through the life of the facility. Lenders react far better to issues raised early with a plan than to surprises disclosed late. Disciplined reporting is a cheap investment in the goodwill that matters when a waiver or amendment is needed.

How an engagement runs

Discover, assess, design, deliver.

  1. 01

    Discover

Understand the decision, the financial context, and how finance currently operates. We establish exactly what question the engagement must answer, so a business-case review and a process redesign are not confused with one another.

  2. 02

    Assess

Review the case, processes, controls, and reporting against what the organisation needs to rely on. We report where the numbers and processes are dependable and where they rest on assumptions that will not hold under pressure.

  3. 03

    Design

Set out the financial approach, process design, control set, and reporting model. Definitions, ownership, and controls are documented so the improvement does not depend on us remaining involved.

  4. 04

    Deliver

Support implementation, then track cost and benefit against what was approved. We measure realised value against the criteria agreed at the outset, so the decision is held to account rather than forgotten.
