ESG Due Diligence

We run ESG due diligence for transactions, covering environmental liabilities, compliance exposure, the target's reported claims and the likely post-deal remediation cost, all within the deal timetable. We scope to the time and data available, prioritise the highest-exposure areas, and state plainly what was and was not covered. The target's own ESG statements are tested rather than taken at face value, because an unverified claim can become the buyer's liability. Where it helps, we turn the findings into a remediation and integration plan with cost and sequence attached.

In short

ESG due diligence assesses environmental, social and governance risks and liabilities in a transaction target. It is as much about testing the target's own ESG claims as about uncovering the liabilities it has not disclosed.

What we do

The work inside esg due diligence.

Environmental liability review

We assess contamination, permits, emissions obligations and site liabilities that could transfer with the deal. Identifying these before completion is what lets them be priced, warranted or walked away from rather than inherited unseen.

Social and labour review

We assess labour practices, the safety record, and workforce and community exposure at the target. These are the social liabilities most likely to surface after completion, and they are far cheaper to understand before the deal closes than after.

Governance and compliance review

We assess the target's governance, ethics, sanctions position and regulatory compliance history. A pattern of compliance failures is often a signal of deeper control weakness, and spotting it informs both price and the integration plan.

Claim verification and cost view

We test the ESG claims the target makes about itself and estimate the cost of putting any shortfall right. An unverified claim can become the acquirer's problem, so distinguishing supported claims from aspiration is central to the diligence.

How an engagement runs

Discover, assess, design, deliver.

  1. 01

    Discover

Understand your sector, stakeholders, existing commitments, and the requests you are receiving. We establish who is asking you for ESG information and what you have already committed to publicly, so the work answers real pressure rather than a generic checklist.

  2. 02

    Assess

Review material topics, current data, governance, and the gap to the reporting you need to produce. We report plainly where your current numbers would not withstand scrutiny and what it would take to close the gap.

  3. 03

    Design

Define metrics, ownership, data flows, controls, and a reporting approach you can repeat. The design fixes how each number is produced and who owns it, so reporting becomes a repeatable process rather than an annual scramble.

  4. 04

    Deliver

Implement the measurement and governance changes, and review disclosures against the evidence. We test every public claim against its source before publication, so what you disclose is what you can defend.
